The agreement between Red Room Inc and the people who use this site, our services, and our work.
These Terms of Service (“Terms”) govern your access to and use of the website, services, and digital products offered by Red Room Incorporated LLC. By using this site or engaging our services, you agree to these Terms. If you do not agree, please do not use the site or our services.
Acceptance of Terms
By accessing redroominc.com, signing a project agreement with Red Room, or purchasing from our shop, you accept and agree to be bound by these Terms and by our Privacy Policy and Messaging Terms.
Our Services
Red Room is a creative strategy and consulting studio. We provide:
- Brand identity and visual storytelling
- Creative strategy and consulting
- Campaign architecture and execution
- Cultural positioning and legacy architecture
- Digital products, prompt systems, and certification programs sold through our shop
Service scope, deliverables, and timelines are defined in individual project agreements or product descriptions.
Eligibility
You must be at least 18 years of age and able to enter into a binding contract to use our services or purchase from our shop. By using the site, you represent that you meet these requirements.
Client Engagements
Engagements for custom services — Signal Build, Campaign Engine, Legacy Architecture, and any custom scope — are governed by a separate project agreement or statement of work signed by both parties. That document controls in the event of any conflict with these general Terms.
Unless otherwise stated in writing, deliverables are released to the client upon final payment.
Payment & Refunds
Custom services. Custom projects typically require a non-refundable deposit before work begins, with the balance due at agreed milestones or upon final delivery. Specific payment schedules are defined in each project agreement.
Shop purchases. Digital products sold through our shop are delivered electronically. Because of the nature of digital goods, all sales are final and non-refundable unless required by law or expressly stated at the time of purchase.
Late payment. Invoices not paid by the agreed due date may pause active work and may accrue late fees as outlined in the relevant project agreement.
Intellectual Property
Site content. All text, graphics, photography, code, design elements, and other content on redroominc.com are owned by Red Room Incorporated LLC or our licensors and are protected by copyright, trademark, and other intellectual property laws.
Client deliverables. Upon final payment, ownership of final deliverables transfers to the client as defined in the project agreement. Red Room retains the right to display completed work in its portfolio and marketing unless otherwise agreed in writing.
Working files & methods. Source files, working files, internal frameworks, prompts, and proprietary methods remain the property of Red Room unless explicitly licensed or sold to the client.
Certification (RRCD). The Red Room Creative Direction Certification curriculum, materials, and credential are the intellectual property of Red Room Inc and Xtcy Bound LLC. Enrolled participants receive a personal-use license; redistribution, resale, or derivative training programs are prohibited without written permission.
AI-Generated Content
Red Room uses artificial intelligence tools as part of its production process. Clients acknowledge that:
- AI-assisted outputs are reviewed, directed, and refined by Red Room before delivery
- AI tools may produce results with inherent limitations, including possible bias, factual errors, or stylistic inconsistencies
- Final creative judgment and quality control remain Red Room’s responsibility
- Prompt systems sold in our shop are creative templates — output quality depends on the AI platform used and the user’s direction
User Conduct
You agree not to:
- Use the site or services for any unlawful purpose
- Attempt to gain unauthorized access to any part of the site
- Copy, scrape, or redistribute site content without written permission
- Interfere with the operation of the site or services
- Use our work to create competing products that copy our methods or branding
Third-Party Tools
Our services and site may rely on third-party platforms — including hosting providers, payment processors, AI model providers, and form handlers (Web3Forms). We are not responsible for the availability, accuracy, or performance of third-party services, and your use of them may be subject to their own terms.
Disclaimers
The site and services are provided “as is” and “as available” without warranties of any kind, whether express or implied. Red Room does not guarantee that the site will be uninterrupted, error-free, or free of harmful components.
Strategic and creative recommendations are professional opinions, not guarantees of business outcomes. Results vary based on factors outside our control.
Limitation of Liability
To the maximum extent permitted by law, Red Room Incorporated LLC and its officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, consequential, or punitive damages, including lost profits or business interruption, arising from your use of the site or services.
Red Room’s total liability for any claim arising from these Terms or a project shall not exceed the amount you paid to Red Room in the twelve months preceding the claim.
Indemnification
You agree to indemnify and hold harmless Red Room and its representatives from any claims, damages, or expenses arising from your use of the site or services, your violation of these Terms, or your violation of any third-party rights.
Termination
We may suspend or terminate access to the site or services at any time, without notice, for conduct that violates these Terms or that we determine to be harmful to Red Room, its clients, or other users. Termination of a client engagement is governed by the relevant project agreement.
Governing Law
These Terms are governed by the laws of the State in which Red Room Incorporated LLC is registered, without regard to its conflict of law principles. Any dispute arising from these Terms shall be resolved in the state or federal courts located in that jurisdiction.
Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by an updated “Last Updated” date at the top of this page. Continued use of the site or services after changes constitutes acceptance of the revised Terms.
